1. Introduction
Welcome to ShooterLogs. These Terms of Service ("Terms") govern your access to and use of the ShooterLogs website, mobile applications, and other online products and services (collectively, the "Services") provided by ShooterLogs Inc. ("ShooterLogs," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 15, you may not access or use our Services.
2. Using ShooterLogs
2.1 Who Can Use ShooterLogs
You must be at least 18 years of age to create an account and use the Services. By creating an account and using the Services, you represent and warrant that:
- You are at least 18 years old;
- You can form a binding contract with ShooterLogs;
- You are not a person who is barred from using the Services under the laws of the United States or any other applicable jurisdiction;
- You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
2.2 Registration and Account Security
To use certain features of our Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify ShooterLogs of any unauthorized use of your account.
3. Subscriptions and Payment
3.1 Subscription Services
ShooterLogs offers both free and paid subscription services. By selecting a paid subscription, you agree to pay ShooterLogs the subscription fees indicated for your selected plan. Subscription fees are payable in advance and are non-refundable except as expressly provided in these Terms.
3.2 Free Trials
We may offer free trials to new subscribers. At the end of your free trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You may cancel your trial at any time during the trial period without charge.
3.3 Payment Processing
We use third-party payment processors to bill you through a payment account linked to your ShooterLogs account. Payment processing services may be subject to separate terms and conditions. By choosing to use paid Services, you agree to pay us, through our payment processor, all charges at the prices then in effect for any use of such paid Services, and you authorize us to charge your chosen payment provider for any such amounts.
4. Content and Conduct
4.1 Your Content
Our Services allow you to upload, store, send, and share content such as text, photos, videos, and other materials ("User Content"). You retain all rights in, and are solely responsible for, the User Content you create, post, or share through our Services.
4.2 Content License
By submitting, posting, or displaying User Content on or through our Services, you grant ShooterLogs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purpose of providing and improving the Services.
4.3 Content Restrictions
You may not post or share User Content that:
- Violates the rights of others, including intellectual property rights and privacy rights;
- Is illegal, obscene, defamatory, threatening, intimidating, harassing, hateful, or racially or ethnically offensive;
- Encourages conduct that would violate any applicable laws or regulations;
- Involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing or "spamming";
- Contains restricted or password-only access pages, or hidden pages or images;
- Furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities;
- Includes explicit or graphic depictions of violence or dangerous activities.
5. User Conduct
You agree not to:
- Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services;
- Use the Services in any manner that could damage, disable, overburden, or impair the functioning of the Services;
- Use our Services to distribute viruses, malware, or other harmful computer code;
- Harvest, collect, or gather user data without the user's consent;
- Use automated scripts to collect information from or otherwise interact with the Services;
- Attempt to circumvent any filtering, security measures, rate limits, or other features designed to protect the Services;
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
6. Intellectual Property Rights
ShooterLogs and its licensors exclusively own all right, title, and interest in and to the Services, including all associated intellectual property rights. You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services.
ShooterLogs claims no ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit your User Content.
7. Privacy
Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you.
8. Termination
You may terminate your account at any time by contacting us at support@shooterlogs.com. We reserve the right to suspend or terminate your account and access to the Services, with or without notice, for conduct that we determine violates these Terms, infringes or violates any third-party rights, or harms other users or us.
Upon termination, your right to use the Services will immediately cease. The following provisions survive termination: Content and Conduct, Intellectual Property Rights, Indemnity, Limitation of Liability, and General Terms.
9. Indemnity
You agree to indemnify, defend, and hold harmless ShooterLogs and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (i) your access to and use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any third-party right, including any intellectual property right or privacy right.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHOOTERLOGS DOES NOT WARRANT THAT THE SERVICES ARE ERROR-FREE OR THAT ACCESS THERETO WILL BE UNINTERRUPTED. NO INFORMATION OR ADVICE OBTAINED THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHOOTERLOGS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT SHOOTERLOGS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
12. Governing Law and Jurisdiction
These Terms and your access to and use of the Services will be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services that is not subject to arbitration shall be subject to the exclusive jurisdiction of the state and federal courts located in Denver, Colorado.
13. Changes to Terms
We may modify these Terms from time to time. If we make changes, we will provide notice of such changes by posting the revised Terms to our website and updating the "Last Updated" date. Your continued use of the Services following the posting of the revised Terms means that you accept and agree to the changes.
14. Electronic Communications
By using the Services, you consent to receiving electronic communications from ShooterLogs. These communications may include notices about your account, subscription, and information concerning or related to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
15. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and ShooterLogs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
YOU AND SHOOTERLOGS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16. General Terms
These Terms constitute the entire agreement between you and ShooterLogs regarding your use of the Services. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. ShooterLogs may assign or transfer these Terms, in whole or in part, without restriction.
